This Developer Agreement ("Agreement") is entered into by and between you ("Developer") and Copyl AB ("Copyl"), governing the submission and publication of software components (Apps, Widgets, Connectors, Templates) to the Copyl Marketplace.

1. Revenue Sharing
- Developer receives 70% of gross revenues generated from sales of their published items on the Copyl Marketplace.
- Copyl retains 30% as a platform and transaction fee.
- All payments are processed via Stripe Connect. The Developer must have an active Stripe Connect account to receive payouts.
2. Submission and Approval
- All submissions require Copyl’s explicit approval prior to publication.
- Copyl reserves the right to accept, reject, or request modifications to any submitted item for quality, security, performance, compliance, or branding purposes.
3. Metadata and Pricing
- Copyl has full discretion to modify metadata (e.g., name, description, tags, categories) to ensure optimal discoverability and consistency.
- Developers must adhere to Copyl’s pricing guidelines, including minimum and maximum thresholds.
- Developers may not charge the customer any additional fees or compensation outside the platform or in conflict with the agreed pricing model.
4. Payment Failures and Refunds
- If a customer fails to pay or requests a refund, Copyl will reclaim the Developer’s share of the affected revenue.
- This includes deducting the corresponding amount from future payouts to the Developer.
5. Developer Responsibilities
- Developers are responsible for:
- Maintaining their items (updates, bug fixes).
- Providing timely and professional customer support.
- Ensuring compliance with all applicable laws and regulations.
- Ensuring that their submissions do not infringe on the rights of any third party.
6. Licensing and Ownership
- Developers retain ownership of their intellectual property but grant Copyl the rights necessary to list, promote, and deliver their items.
